Director, Partnerships and Corp Dev
ABOUT THE ROLE
Peloton is looking for a highly-effective Director to play a leading role within the Strategic Partnerships and Corporate Development function. Reporting to the Senior Director, Partnerships and Head of Corporate Development, this individual will help evaluate, lead, and execute strategic partnerships, M&A acquisitions, and divestitures that support the long-term strategy of the company while working with a broad set of cross-functional partners. The Partnerships and Corporate Development function sits within Peloton’s broader Emerging Businesses (“EB”) team and is responsible for deal sourcing, structuring, negotiating, and successful post-close management of large, global and/or US focused strategic partnerships, investments, and/or M&A transactions.
YOUR DAILY IMPACT AT PELOTON
Spanning both Partnerships and Corp Dev functions
- Become a highly-trusted partner to Emerging Business leadership and key internal stakeholders in evaluating and pursuing strategic partnership and M&A opportunities against the Company’s broader strategic vision and growth objectives.
- In partnership with your Manager, support the development of the business case and strategic rationale for a potential strategic partnership, investment, and/or M&A transaction (including asset sales and divestitures) from an operational, competitive, and financial perspective.
- Drive the creation of specific documents and deal artifacts for Peloton’s internal partnerships and M&A processes such as Function Head / Executive Team / Board approval memoranda and effectively communicate recommendations to Peloton leadership
- Support your team leader in driving overall team effectiveness and efficiency with an emphasis on continuous improvement in processes, deal playbooks and protocols, and cross-functional collaboration models.
- Oversee and lead two high-performing direct reports and guide the end-to-end execution of projects across the team while ensuring optimal resource allocation dependent on business need
Partnerships function
- Play a leading role in cultivating, maintaining, and building relationships with both current and prospective strategic partners.
- Lead the sourcing, structuring, and negotiating of impactful growth distribution deals that ladder up to the team’s strategic priorities and growth objectives
- Act as a support function for the Product and Content teams in pursuing and constructing impactful and first-of-their-kind partnerships within those areas of the business.
- Work closely with FP&A to shape the development of financial forecasts for potential partnerships (Revenue, Margins, Sub Adds, etc) that fold into our annual budget. Support Weekly Business Review meetings to ensure we’re tracking towards our budget and KPIs.
- Work closely with the Strategic Partner Management side of the team, Marketing, and Product to ensure that we and our partners are bringing the right resources to bear to set up a partnership for long-term success and impact (including for net new deals and expansion opportunities / renewals with existing partners).
- Shepherd the end-to-end execution of internal processes to ensure appropriate visibility, buy-in, and approvals from across the organization.
M&A function
- Support the team in cultivating relationships with M&A target companies and other key constituents in our space such as investment banks and PE/VC players
- For small-to-mid sized M&A transactions, serve as the deal quarter-back by partnering with a broad group of internal stakeholders and external advisors, developing a nuanced understanding of deal dynamics, legal docs, and diligence findings, and owning / supporting negotiations with our counter-parties, with an ability to step up on larger deals if needed
- Oversee the creation of financial and merger models for both public and private M&A targets, accretion / dilution analyses, and valuation analyses
- Oversee the team’s Competitive Landscape and Market Share reporting and analyses
YOU BRING TO PELOTON
- Minimum of 8+ years of relevant experience
- Prior experience in investment banking, private equity, venture capital, business development, strategic partnerships, and/or corporate development. Extensive strategic partnership and transaction experience in a cross-functional environment is required.
- Strong relationship cultivation, deal structuring, and negotiation skills with an executive presence
- Prior people management experience required
- Highly organized and experienced in managing multiple cross-functional large-scale projects at once, adhering to and refining best practices and repeatable processes
- Ability to influence and communicate effectively with all levels throughout the organization and to present comfortably to leadership
- Highly conscientious and proactive in managing up, escalating information, and over-communicating with your manager with an appropriate level of detail and a nuanced understanding of what matters most.
- Strong analytical skills, experience performing rigorous financial, valuation, and broad quantitative analyses and familiarity with accounting and key operating metrics
- In-depth understanding of the legal documents and key provisions governing strategic partnerships, investments and M&A transactions including NDAs, Term Sheets, Merger Agreements, Asset Purchase Agreements, Release and Waivers, IP Assignments, etc.
- Excellent strategic problem solving and analytical skills
- Superior verbal and written communicator
- Great attention to detail and naturally self-motivated.
- Proficient in MS Office (Excel, Powerpoint, Word) and Google Suite (Slides, Sheets, Docs)
Base Salary: $247,200.00 to $321,400.00
The base salary range represents the low and high end of the anticipated salary range for this position based at our New York City headquarters. The actual base salary offered for this position will depend on numerous factors including individual performance, business objectives, and if the location for the job changes.
